Licensing, incentives and property in Saudi Arabia

Beyond investment registration, many activities need a sector licence, and MISA's activity conditions set Saudi-participation or experience thresholds for communications, legal and engineering work. Financial activities need SAMA approval before incorporation. Incentives include regional headquarters tax relief, reductions for projects in less-developed regions and customs exemptions for approved projects. Foreign companies can register to own real estate, subject to the ownership rules.

Sector conditions at registration

MISA's Investor Guide sets activity-specific conditions. Communications activities need 40% Saudi participation (30% for supportive communications). A fully foreign-owned legal practice needs an approval letter from the Ministry of Justice. A fully foreign-owned engineering consultancy needs a presence in at least four countries and at least 10 years of experience.

Financial activities such as banking, finance and payments need a licence or preliminary approval from the Saudi Central Bank (SAMA) before the company can be incorporated. Other sectors have their own regulators and licences, so map them before choosing activity codes.1234

Government contracts

Foreign companies performing government contracts can use a temporary investment registration for government contracts, a separate MISA filing category. Government procurement also has its own local content and regional headquarters policies, which were not confirmed. Check them early when government clients are central to the business plan.5

Incentives

Besides regional headquarters tax relief, projects in Ha'il, Jazan, Najran, Al-Baha, Al-Jouf and the Northern territory can reduce their annual tax bill for ten years by half of what they spend on training and salaries for Saudi nationals and by 15% of the non-Saudi share of capital; further deductions apply above SAR 1 million of investment and more than five Saudi staff in technical or administrative roles. Approved projects can obtain customs duty exemptions on machinery and raw materials not available locally if they apply before importing.678

Real estate

MISA runs a separate registration track for non-Saudi companies that only own property, with a stated processing time of 10 working days. Real estate transfers carry 5% real estate transaction tax. The substantive rules on where and what foreigners may own should be checked against the current law on real estate ownership by non-Saudis.910

How it works, step by step

  1. Identify the sector regulator and any licence or preliminary approval needed before incorporation (for example SAMA for financial services)4Relevant sector regulator
  2. Confirm the activity's Saudi-participation, capital or experience conditions123Ministry of Investment (MISA)
  3. Apply for incentives before the qualifying event (for example customs exemption before importing)8Competent authority for the incentive

No timings or fees are shown unless an official source states them.

Documents usually needed

  • Sector licence or preliminary approval
  • Ministry of Justice approval letter (fully foreign-owned legal practice)
  • Evidence of international presence and experience (engineering consulting)
  • Incentive applications filed before import or project start

Common mistakes

  • Incorporating before obtaining SAMA preliminary approval for a financial activity.
  • Assuming a fully foreign-owned structure works for communications, where 40% Saudi participation is required.
  • Importing equipment before applying for a customs exemption.
  • Buying property without checking the current rules for non-Saudi ownership and the 5% transaction tax.

When the business crosses borders

  • Proof of international presence and experience is often required, so collect evidence from group companies abroad.
  • Government contracts may depend on regional headquarters status and local content rules, which affects regional structuring.
  • Sector approvals in Saudi Arabia do not passport from GCC neighbours; each needs its own Saudi licence.

Questions businesses ask

Can a foreign law or engineering firm be fully foreign-owned?

Yes, subject to conditions: a legal practice needs a Ministry of Justice approval letter, and an engineering consultancy needs a presence in at least four countries and 10 years of experience.23

Can a foreign company own real estate?

MISA runs a registration track for non-Saudi companies that own property. Transfers carry 5% real estate transaction tax. Check the current law on non-Saudi ownership for location and use restrictions.910
